Company – Member. A company's affairs had been conducted in a manner unfairly prejudicial to the interests of both petitioners as members. The Chancery Division so ruled in allowing the petitioners claim for relief under s 994 Companies Act 2006. The court rejected the respondents' contention that there had been unanimous consent of the company's shareholders, such as to authorise or ratify any steps taken to transfer the company's business and assets.
