Charity – Company. The judge had not been entitled to order the fourth defendant member of the claimant charity to vote in favour of the approval of a grant to another charity. The Court of Appeal, Civil Division, in allowing the fourth defendant's appeal, held that, although members owed fiduciary duties, it could not direct a fiduciary how to exercise his powers unless he was acting in breach of duty and there was no evidence that the fourth defendant had been acting or proposing to act in breach of duty.
