Company – Member. Directors' remuneration and no-dividend policies in respect of a company were unfairly prejudicial to the petitioning shareholders of the company, because they had been denied a return on their investment, the company's balance sheet had been diminished by the excessive remuneration, and their share of the profits had been taken by those relevant directors. The Companies Court so held in allowing an unfair prejudice petition, under s 994 of the Companies Act 2006.
