Company – Member. The petitioner, a shareholder in a company, presented a petition, under s 994 of the Companies Act 2006, alleging, among other things, that the affairs of the company had been conducted in a manner which was unfairly prejudicial to the interests of its members. She sought an order that the first and second defendants purchase her shares in the company at a fair value to be determined by the court, together with any other relief. The Companies Court held that the valuation date would not necessarily be the date on which relevant unfair prejudice first occurred, but in the present case, would be the date of the order. It held that an amount would be added to the valuation to compensate the petitioner for the withdrawal of certain benefits she had previously received.
