Agent – Authority. The judge had erred in having concluded that financial advisers had acted as the claimants' agent in having procured that its client, the main defendant, had entered into a single tranche collateralised debt obligation (STCDO) and that the bribe had been within the scope of that agency, so that the claimants had been responsible for it in law, even though unaware of it. The Court of Appeal, Civil Division, further held that by virtue of its dishonest assistance in the financial advisers' abuse of its fiduciary duty to the main defendant, the claimants' conscience had been affected by the bribe so as to make it unconscionable for them to enforce the STCDO procured by the bribe.
